Contributor Licence Agreement

This agreement is between you (the "Contributor") and Design Dragon Ltd ("we", "us", "our"), a company registered in England and Wales (company number: to follow), registered office 9 Guelder Rode, Dunmow, CM6 1TU. It applies when you submit a website template (a "Template") to us through our website. By ticking the agreement box when you submit, you accept these terms.

1. What you're granting us

You grant Design Dragon Ltd a worldwide, non-exclusive licence to market, display, adapt, customise, combine with other work, and sell your Template as part of the website design and build services we provide to our clients, and to sub-licence the resulting website to those clients for their use. This licence lasts for as long as we offer your Template or have delivered it to a client.

The licence is non-exclusive: you keep the copyright and ownership of your original Template and remain free to use, license or sell it elsewhere.

2. What you're promising us

You confirm that:

• the Template is your own original work, created by you;
• it does not copy or infringe anyone else's intellectual property, and is not a re-skin of another marketplace template;
• any third-party components it relies on — fonts, icons, images, code libraries — are properly licensed for commercial use and resale as part of a client website, and you will tell us what they are;
• you have the full right to grant the licence in section 1.

3. Commission and payment

When we sell a website build based on your Template, we will pay you a commission of 30% of the net Template value of that sale (the price attributable to the Template, excluding VAT, payment fees, and any separate charges for our customisation, content, hosting or other services). We handle the client relationship, customisation, delivery and support.

We will confirm the payout amount, method and schedule with you once a sale completes. Commission is payable only on completed, paid, non-refunded sales.

4. Review and listing

Submitting a Template does not guarantee it will be listed or sold. We review every submission and may accept, decline, request changes to, or later remove any Template at our discretion — for example on grounds of quality, originality, legal risk or fit. We are not obligated to sell any minimum number of Templates.

5. Client rights

When we deliver a website built on your Template to a client, that client receives the right to use their finished website. Your underlying Template remains yours; the client does not acquire the right to resell the Template itself.

6. Your responsibility for claims

If a third party brings a claim against us because your Template (or anything in it) infringes their rights or breaches your promises in section 2, you agree to cover the reasonable losses, damages and costs we incur as a result. This does not apply to changes we make that cause the issue.

7. Ending this agreement

Either of us may end this agreement at any time by written notice (email is fine). Ending it stops new sales of your Template, but does not affect websites we have already delivered to clients, or commission already earned and owed to you.

8. Your details

We process the contact details you submit only to review your Template, contact you about it, and arrange payment. See our Privacy Policy for how we handle personal data.

9. Law

This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. It is the whole agreement between us about Template submissions and replaces any earlier discussions.
